Terms of Service

"DesertLink IT", "we", "our", "us" refers to DesertLink IT, a technology company registered and operating in Kenya.

"Client", "you", "your" refers to the individual or organization using our website or engaging our services.

"Services" refers to the IT solutions, consulting, software development, licensing, and related offerings provided by DesertLink IT.

"Agreement" refers to these Terms of Service along with any signed service agreement or statement of work between DesertLink IT and the Client.

DesertLink IT provides enterprise IT solutions including but not limited to:

• Enterprise software development and integration
• Software licensing and compliance management
• Microsoft solutions including Microsoft 365, Azure, and Dynamics 365
• Cloud solutions architecture, migration, and management
• IT infrastructure design, deployment, and support
• Managed IT services and end user support
• Cybersecurity assessments, implementation, and monitoring
• IT consulting and digital transformation strategy

The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate proposal, statement of work, or service agreement signed by both parties.

All quotations and proposals provided by DesertLink IT are valid for 30 days from the date of issue unless otherwise stated. Once accepted by the Client, a binding agreement is formed subject to these Terms of Service.

Pricing is quoted in Kenyan Shillings (KES) or US Dollars (USD) as specified. Fees do not include applicable taxes, which will be added to invoices as required by Kenyan law.

To ensure successful delivery of services, the Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Grant timely access to systems, personnel, and facilities as needed
• Make decisions and provide approvals within reasonable timeframes
• Pay all fees and charges in accordance with the agreed payment schedule
• Comply with all applicable laws and regulations related to the services

DesertLink IT IP: All methodologies, tools, frameworks, software libraries, and pre-existing intellectual property used in the delivery of services remain the exclusive property of DesertLink IT. Nothing in these terms transfers any ownership of our IP to the Client.

Client IP: Any intellectual property owned by the Client prior to the engagement remains the property of the Client.

Deliverables: Upon full payment, the Client receives a license to use any custom-developed deliverables specifically created for the engagement, as defined in the service agreement. Unauthorized reproduction, distribution, or modification of our deliverables is prohibited.

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. Confidential information includes but is not limited to business plans, technical data, client lists, financial information, and trade secrets.

Confidentiality obligations survive the termination of the agreement for a period of three years. This section does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

DesertLink IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the services provided.

Our total liability for any claim arising from these terms or the services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

We do not warrant that our services will be uninterrupted or error-free. Services are provided "as is" and "as available" to the extent permitted by applicable law.

Either party may terminate a service agreement with 30 days written notice. DesertLink IT may immediately terminate or suspend services if the Client fails to pay fees when due or breaches any material term of the agreement.

Upon termination, the Client shall pay for all services rendered up to the date of termination. Any provisions that by their nature should survive termination (including intellectual property, confidentiality, and limitation of liability) will remain in effect.

By using our website, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the operation of the website
• Transmit malware, viruses, or any harmful code
• Scrape, reproduce, or distribute content from our website without permission

We reserve the right to restrict or terminate access to our website at any time without notice.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Kenya.

The parties shall attempt to resolve any dispute through amicable negotiation before resorting to legal proceedings. If negotiation fails, the dispute shall be referred to mediation, and if unresolved, to arbitration in accordance with Kenyan arbitration laws.
